These Terms & Conditions ("Terms") are a binding agreement between you and mConnected LLC ("memluv", "we", "us") governing your use of the memluv service, website, and applications (the "Service"). Please read Section 15 (Dispute Resolution) carefully — it requires binding arbitration on an individual basis and waives your right to a jury trial and class actions.
By creating an account, checking the box to accept these Terms, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy and, if you receive texts, our SMS Terms & Consent.
You must be 18 or older to agree to these Terms and to purchase a subscription. If you set up or pay for an account on behalf of a Participant (for example, a parent or family member), you represent that you have that person's authorization to do so and to share the information you provide about them, and you agree to these Terms both for yourself and on their behalf. The Participant remains the owner and controller of their account and story.
memluv is a voice-first AI biographer, virtual replica, and conversation companion for older adults. It conducts warm, unhurried conversations (by voice or text, in multiple languages), records and transcribes them, and continuously generates a chaptered life story. Friends and family members a Participant invites ("Viewers") may read, hear, and/or see the story, ask questions, and contribute photos and videos. The Service uses third-party AI providers to operate (see the Privacy Policy).
An account belongs to the Participant whose story it tells. A Purchaser (i.e., someone who sets up or pays for an account on behalf of a Participant) may manage billing but may only gain access to the Participant's biography or virtual replica if the Participant shares them with the Purchaser; the granting and revocation of such access is at the sole discretion of the Participant. You are responsible for the accuracy of the information you provide and for activity under your account. Sign-in uses one-time links; keep your email and phone secure.

By using the Service and agreeing to these Terms, the Participant expressly consents to the following:
You may withdraw consent to voice recording at any time (we will disable audio capture while keeping text features), and delete your data as described in Section 8 and the Privacy Policy.
You own your story. As between you and memluv, the Participant owns their conversations (audio and text inputs), photos, and videos ("Your Content"). You grant memluv a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transcribe, translate, adapt, and display Your Content to operate and provide the Service to you and your Viewers, and to create backups and de-identified/aggregated data. This license ends when you delete Your Content or your account, except for: (a) backups and legally required records that age out on our normal schedule; and (b) any data and information related to your use (and the use by your Viewers) of the Service that is used by us in an aggregated and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services, for which you unconditionally and irrevocably grant us an assignment of all right, title, and interest in, including all intellectual property rights relating thereto.
Excluding Your Content (which you own), memluv owns the Service software, specifications, documentation, systems, branding, information, data, materials, works, content, devices, methods, processes, technologies, inventions, algorithms, deliverables, and all related intellectual property (collectively, "memluv's IP"). You will not, and will not permit any other person or machine to: (a) access or use the Service or memluv's IP except as expressly permitted by these Terms; and (b) copy, modify, or create derivative works or improvements of the Service or memluv's IP.
Neither you nor your Viewers may use the Service to upload unlawful content, infringe others' rights, impersonate anyone, provide another person's information without authorization, attempt to breach security or access others' accounts, scrape or reverse- engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code of the Service, or resell it. We may suspend or terminate accounts that violate these Terms or the law.
If a subscription lapses, the biography becomes read-only — nothing already saved is deleted, and it remains readable. Photos, videos, and voice recordings are deleted six (6) months after lapse (resubscribing beforehand preserves them). Your written biography is kept so a family's story is never destroyed for non-payment. You may request full deletion at any time via privacy@memluv.com or your account. Our Privacy Policy explains what we collect and how we use, store, share, and protect it, and describes your CCPA/CPRA and GDPR rights. By using the Service you agree to it.
The Service relies on third parties (including, e.g., technology providers for AI models, video, messaging, storage, and payments). We are not responsible for their acts or omissions, and your use may also be subject to their terms.
The Service is provided "as is" and "as available." memluv is a memory-keeping, storytelling, conversation tool — it is not a medical, mental-health, legal, financial, or emergency service, and provides no professional advice. AI-generated content (biography text, prompts, translations, transcriptions, videos, virtual replicas) may be inaccurate or incomplete; review it and don't rely on it as a factual record without checking. We do not warrant that the Service will be uninterrupted, error-free, or that recordings or content will never be lost. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, memluv and mConnected LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, content, profits, or goodwill. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid memluv in the 12 months before the claim, or USD $100.
You agree to indemnify and hold harmless mConnected LLC and its affiliates and their members, managers, shareholders, directors, officers, employees, advisors, partners, and consultants from claims arising out of your misuse of the Service, your violation of these Terms or the law, or your provision of another person's information without authorization.
You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, to comply with law, or to protect the Service or users. Sections that by their nature should survive (ownership, disclaimers, liability, dispute resolution) survive termination.
Please read this section carefully. It affects your legal rights.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Subject to Section 15, the exclusive venue for any matter not subject to arbitration is the state or federal courts located in California.
We may update these Terms. If changes are material, we will notify you (by email or in-app) and update the "Effective" date. Continuing to use the Service after changes take effect means you accept the updated Terms; if you don't agree, stop using the Service and cancel.
These Terms, the Privacy Policy, and the SMS Terms are the entire agreement between you and memluv. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or successor. We are not liable for delays or failures caused by events beyond our reasonable control.
